- Analysing a company’s circumstances, liaising with tax representatives, overseas offices, and agents, and recommending the optimal solution for your particular situation
- Drafting a restructuring plan with action steps, an estimated timetable, and all necessary documentation
- Identifying matters that require attention when acquiring new investments or when being acquired, whether the transaction involves the head office or a local unit
- Conducting due diligence on statutory books and records of target companies or current group companies
- Assessing whether companies are properly registered
- Advising on matters to be attended to upon completion of an acquisition from a corporate secretarial perspective
- Reviewing the statutory books and records provided upon completion of an acquisition deal and advising on their adequacy
- Coordinating between local and overseas offices
- Capital restructuring, including facilitating share repurchases capital reductions or other forms of capital reorganization, such as the creation of a new class of shares (e.g. redeemable preference shares), a subdivision of shares, or a change in the rights of a particular class of shares and contribution of capital
- Transferring businesses, employees, assets, and liabilities or shares from one legal entity to another (including applying for stamp duty relief where applicable)
- Establishing or closing down companies, branches, representative offices, joint ventures, or partnership businesses, locally and in certain offshore jurisdictions
- Providing liquidators or liquidation support, preparing documents, and attending to the necessary formalities for the voluntary winding up of solvent companies
- Deregistering different forms of entities and/or special licenses (for example, those granted by the local monetary and securities authorities)
